Smart Core Terms of Use

These Terms of Use ("Terms") govern your access to and use of Smart Core products and services, including the Smart Core website, Smart Core BOS, Smart Core Connect, associated SaaS applications, and related services (collectively, "Services"). By using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

1. Who we are

Smart Core is a trading name of Vanti Ltd, registered at 44 Upper Gough Street, Birmingham, West Midlands, England, B1 1JL. For enquiries, please contact hello@smartcore.io.

2. Eligibility and Accounts

You must be at least 16 years old to use our Services. By creating an account or using the Services on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms. You are responsible for maintaining the confidentiality of your login credentials and for ensuring your users comply with these Terms.

3. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not misuse the Services, attempt to gain unauthorised access, interfere with their operation, or use them in a way that could damage, disable, or impair performance. Smart Core BOS is deployed on-premise; customers are responsible for securing and operating BOS installations. Smart Core does not access customer BOS data unless explicitly requested for support or integration purposes.

4. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, process, and protect personal data, including account data, usage data, workplace and building data, marketing preferences, support interactions, and recruitment data. Customers remain data controllers of their own BOS data unless otherwise agreed in writing.

5. Intellectual Property

All intellectual property rights in the Services, software, and content are owned by or licensed to Vanti Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms and your subscription or contract. You may not copy, modify, distribute, reverse-engineer, or create derivative works except as expressly permitted by law or agreement.

6. Subscriptions, Fees, and Renewals

Access to certain Services requires a paid subscription or licence. Fees, payment terms, and subscription periods are defined in your order form, proposal, or contract. Unless otherwise agreed, subscriptions renew automatically at the end of each term unless cancelled in accordance with contract terms. Cancellation of annual recurring revenue (ARR) services, support agreements, or ongoing SaaS subscriptions must be provided in writing at least 90 days prior to the renewal date. Failure to provide such notice will result in automatic renewal for the following term. Failure to pay fees may result in suspension or termination of your access.

7. Third-Party Services

The Services may include integrations with third-party services such as cloud hosting, analytics, or hardware vendors. While Smart Core carefully selects its technology partners, it is not responsible for the performance, availability, or security of third-party services.

8. Warranties and Disclaimers

We provide the Services using reasonable skill and care and in line with recognised industry standards. Except as expressly stated in a separate contract, the Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation, or that the Services will meet your specific requirements.

9. Limitation of Liability

To the maximum extent permitted by law, Smart Core and Vanti Ltd shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, business opportunities, or goodwill. Our total liability under these Terms shall not exceed the fees paid by you for the Services in the 12 months preceding the claim. Nothing in these Terms excludes liability for death, personal injury, or fraud.

10. Termination

We may suspend or terminate your access to the Services if you breach these Terms or fail to pay applicable fees. Upon termination, your right to use the Services ceases immediately, without prejudice to your obligations to pay outstanding amounts or comply with contractual commitments.

11. Changes to Terms

We may update these Terms from time to time to reflect legal, technical, or business changes. The most recent version will always be available on our website. Continued use of the Services after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
